Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the website located at www.eco.com and any subdomains, pages, and content made available through it (collectively, the “Site”), including the documentation hosted at eco.com/docs (the “Documentation”).
SubmissionsThe Site is operated by Eco, Inc., a Delaware corporation (collectively with its affiliates, “Eco,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.
THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. PLEASE REVIEW SECTION 11 CAREFULLY. THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS.
1. Scope. These Terms govern only your use of the Site. The following are not governed by these Terms:
- Eco Portal (portal.eco.com), which is governed by a separate terms of service available on that property.
- The Eco Protocol, a collection of onchain smart contracts and infrastructure components (including Routes) owned by Eco Foundation or its affiliates (collectively, the “Protocol”). The Protocol is made available under separate licenses, terms, and disclosures, including any licenses published in the applicable code repositories. Information about the Protocol is available at www.eco.org.
- APIs, SDKs, and integration services provided by Eco, including any access to proprietary software. Access to those services is governed exclusively by a separately executed written agreement between Eco and the applicable customer or partner (each, an “Integration Agreement”). Nothing on the Site, including the Documentation, constitutes such an agreement or an offer to enter into one.
- Third-party services linked from or referenced on the Site, including third-party wallets, blockchains, stablecoin issuers, code repositories, audit reports, community forums, and social media properties. Those services are governed by their own terms.
To the extent of any conflict between these Terms and a separate written agreement between you and Eco (such as an Integration Agreement), the separate written agreement controls with respect to its subject matter.
2. Eligibility. By accessing the Site, you represent and warrant that:
- you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into these Terms;
- you are not a person with whom transactions are prohibited under applicable economic or trade sanctions laws, including those administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), and you are not located, organized, or ordinarily resident in any country, territory, or region subject to comprehensive sanctions;
- you are not identified on any U.S., U.K., E.U., or U.N. consolidated sanctions or denied-parties list; and
- if you access the Site on behalf of an entity, you have authority to bind that entity to these Terms, and “you” in these Terms refers to both you and that entity.
We may, in our sole discretion, refuse or terminate access to the Site for any person or from any jurisdiction at any time.
3. License to Use the Site. Subject to your compliance with these Terms, Eco grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site and the Documentation solely for your internal informational and evaluation purposes. This license does not grant you any right, title, or interest in the Site or the Documentation, and we reserve all rights not expressly granted. Except as expressly permitted by these Terms or by a separate written agreement with Eco, you may not:
- reproduce, modify, distribute, publicly display, or create derivative works of the Site or the Documentation;
- scrape, crawl, harvest, or index the Site by automated means other than to the extent expressly permitted by the Site’s robots.txt file;
- use the Site or the Documentation to train, fine-tune, evaluate, or otherwise develop any machine learning or artificial intelligence model, except for personal, non-commercial query-time use of generally available AI assistants to read the Site;
- reverse engineer, decompile, or disassemble any software made available through the Site, except to the extent this restriction is prohibited by applicable law;
- remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Site or the Documentation; or
- use the Site or the Documentation to develop or operate a product or service that is substantially similar to, or competitive with, Eco’s services.
4. Code Samples and Licensed Content. Portions of the Documentation include code samples and references to software made available by Eco or third parties under open-source or other licenses. To the extent any code sample, library, or software referenced on or distributed via the Site is governed by such a license, that license controls your use of such code, library, or software, and nothing in these Terms is intended to restrict rights granted to you under such license. The applicable licenses are identified in the corresponding source code repositories.
5. Intellectual Property; Trademarks. Other than open-source content described in Section 4, the Site and the Documentation, and all content, design, organization, compilation, source code, and “look and feel” thereof, are owned by Eco or its licensors and are protected by copyright, trademark, and other intellectual property laws. “Eco,” the Eco logo, and other Eco product names and logos are trademarks of Eco, Inc. or its affiliates. Use of Eco’s trademarks is governed by Eco’s brand guidelines, available through the Site. You may not use Eco’s trademarks except as expressly permitted by those guidelines or with our prior written consent.
6. No Offer; No Advice; Forward-Looking Statements. The Site is provided for general informational purposes only. Nothing on the Site constitutes, or should be construed as:
- an offer to sell, or a solicitation of an offer to buy, any security, digital asset, or financial instrument;
- investment, financial, tax, legal, accounting, or other professional advice; or
- a recommendation to engage in any transaction or to use any product or service.
The Site may contain forward-looking statements regarding Eco’s plans, the Protocol, the future availability of features, or the future status of any component as a public good. These statements reflect current expectations and are subject to change. Actual outcomes may differ materially, and Eco undertakes no obligation to update any forward-looking statement.
7. Submissions; Feedback. If you submit ideas, suggestions, feedback, bug reports, feature requests, or other information to Eco through the Site (whether via a contact form, newsletter signup, support channel, or otherwise) (collectively, “Submissions”), you agree that upon making such a Submission, you concurrently assign to Eco, and Eco hereby accepts, all right, title, and interest in and to each Submission, including all intellectual property rights therein, effective upon your submission. You waive, and agree not to assert, any moral rights or rights of attribution in any Submission to the maximum extent permitted by applicable law. If, for any reason, the foregoing assignment is not fully effective, you also grant Eco a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, exclusive, sublicensable, and transferable license to use, reproduce, modify, prepare derivative works of, distribute, publicly perform, publicly display, and otherwise exploit each Submission for any purpose, with no obligation of attribution or compensation. You represent and warrant that (a) you have all rights necessary to make each Submission and to grant the rights in this section, and (b) no Submission infringes or misappropriates any third party’s intellectual property or other rights. Personal information you provide is handled in accordance with our Privacy Policy, available at eco.com/privacy-policy.
8. Acceptable Use. You agree not to use the Site to:
- violate any applicable law or regulation, including without limitation any sanctions, anti-money-laundering, anti-terrorism, export-control, securities, consumer-protection, or privacy law;
- infringe the intellectual property, privacy, publicity, or other rights of Eco or any third party;
- upload, transmit, or distribute any virus, malware, or other harmful code, or otherwise interfere with the security, integrity, performance, or availability of the Site;
- attempt to gain unauthorized access to the Site, any related systems, or any other user’s account or data;
- impose an unreasonable or disproportionately large load on the Site’s infrastructure, or circumvent any rate limit, access control, or technical measure; or
- use the Site to facilitate fraud, scams, phishing, market manipulation, or any unlawful activity.
9. Third-Party Links and Resources. The Site contains links to and references third-party websites, services, and resources, including Eco Portal, code repositories, the Eco Foundation website, partner products, audit reports, community channels, and social media. Eco does not control, endorse, or assume any responsibility for third-party websites or services. Your interactions with any third party are solely between you and that third party, and are governed by that third party’s terms and privacy practices.
10. Disclaimers; Limitation of Liability. THE SITE AND THE DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. ECO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ECO DOES NOT WARRANT THAT THE SITE OR THE DOCUMENTATION WILL BE ACCURATE, CURRENT, COMPLETE, UNINTERRUPTED, SECURE, OR ERROR-FREE.
Without limiting the foregoing, the Documentation describes products, features, and capabilities that may change over time. Information in the Documentation may not reflect the current state of the Protocol or any service offered by Eco. You should not rely on the Site or the Documentation as the sole basis for any decision, including any decision involving digital assets or financial transactions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ECO OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ECO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the foregoing exclusions and limitations apply to the maximum extent permitted by applicable law.
11. Governing Law; Dispute Resolution; Arbitration.
11.1 Governing Law. These Terms and any dispute arising out of or relating to them or your use of the Site (each, a “Dispute”) are governed by the laws of the State of Delaware, United States of America, without regard to its conflicts-of-law principles.
11.2 Informal Resolution. Before initiating any formal proceeding, you agree to first contact Eco at legal@eco.com with a written description of the Dispute and to attempt in good faith to resolve the Dispute informally for at least sixty (60) days.
11.3 Binding Arbitration. If the Dispute is not resolved informally, you and Eco agree that the Dispute will be resolved exclusively by binding individual arbitration, except as set forth below. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, for Disputes exceeding US$250,000, the JAMS Comprehensive Arbitration Rules), each as in effect at the time the arbitration is commenced. The seat of arbitration will be New York, New York, and the arbitration may be conducted in person, by telephone, or by videoconference. The arbitrator’s award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
11.4 Class Action and Jury Trial Waiver. YOU AND ECO EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. YOU AND ECO EACH WAIVE THE RIGHT TO A TRIAL BY JURY. IF THE CLASS ACTION WAIVER IS HELD UNENFORCEABLE WITH RESPECT TO ANY PORTION OF A DISPUTE, THAT PORTION WILL BE SEVERED AND HEARD IN COURT, WITH THE REMAINDER PROCEEDING IN ARBITRATION.
11.5 Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property, trademarks, trade secrets, or confidential information, or to enforce the acceptable use restrictions in Section 8. All disputes not arbitrable
11.6 Non-Arbitrable Disputes. All disputes not subject to arbitration under this Section 11 shall be subject to the exclusive jurisdiction of the state courts of Delaware, the U.S. District Court for the District of Delaware, and the courts properly hearing appeals therefrom.
12. Changes to the Site and to These Terms. Eco may modify, suspend, or discontinue the Site or any portion of the Site at any time, with or without notice. Eco may also modify these Terms from time to time. When we do, we will update the “Effective Date” below and, where we consider the changes material, provide additional notice through the Site. Your continued use of the Site after the Effective Date of an updated version of these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, your sole remedy is to stop using the Site.
13. Termination. Eco may suspend or terminate your access to the Site at any time, for any reason, with or without notice. Upon termination, the licenses granted to you under these Terms will immediately cease, and Sections 4 through 11 and 13 through 15 will survive.
14. General.
14.1 Entire agreement; order of precedence. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Eco regarding the Site. They supersede any prior or contemporaneous understandings regarding the Site, including any prior version of these Terms. They do not supersede any Integration Agreement or other separately executed written agreement between you and Eco, which controls with respect to its subject matter.
14.2 Assignment. You may not assign these Terms without Eco’s prior written consent. Eco may assign these Terms, in whole or in part, without your consent. Any attempted assignment in violation of this section is void.
14.3 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
14.4 No waiver. Eco’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
14.5 Force majeure. Eco will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, pandemic, internet or telecommunications failures, power outages, or third-party service failures.
14.6 Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and Eco.
14.7 Notices. Eco may provide notices to you through the Site or by email. You may provide notices to Eco at legal@eco.com.
