Who Owns Ally Bank? Ally Financial, GMAC History and Holders

Ally Bank is owned by Ally Financial Inc., a public company listed on the NYSE under the symbol ALLY. According to Ally Financial's 2025 Form 10-K, a subsidiary called IB Finance is the direct parent of Ally Bank, a Utah-chartered commercial bank whose deposits are insured by the FDIC, and IB Finance is in turn a direct subsidiary of Ally Financial.

Ally Financial itself has no controlling owner. As of March 13, 2026, its largest disclosed holders were affiliates of Berkshire Hathaway (9.4%), The Vanguard Group (9.1%), BlackRock (8.3%) and Harris Associates (7.6%), per Ally's 2026 proxy statement. Every ownership figure below comes from Ally's SEC filings and is dated to the filing.

Who owns Ally Bank?

Ally Bank belongs to Ally Financial, the holding company that also runs Ally's auto lending, insurance and corporate finance businesses. Ally Financial is owned by its public shareholders, led by a handful of large investment firms, none of which holds a controlling stake. Depositors are customers of the bank, not owners of it.

The chain of ownership runs through two regulated holding companies. Ally's 10-K says Ally and IB Finance, a Delaware limited liability company, are both bank holding companies under the Bank Holding Company Act, and that Ally has elected to be a financial holding company. The same filing describes Ally as a financial-services company with the nation's largest all-digital bank.

Who are Ally Financial's largest shareholders?

Four investment firms each hold more than five percent of Ally Financial. Berkshire Hathaway's insurance and pension affiliates top the list, followed by Vanguard, BlackRock and Harris Associates. Together they hold a large minority of the stock, but no single holder can control the company on its own.

The table reproduces the 5% holder table in Ally's 2026 proxy statement, which bases each row on the holder's latest Schedule 13D or 13G filing. Percentages use 307,918,244 shares outstanding as of March 13, 2026, per the same proxy.

The Berkshire row covers a group filing by Warren E. Buffett, Berkshire Hathaway and several subsidiaries, including National Indemnity Company and GEICO Corporation, according to footnote (b) of the proxy. Vanguard and Harris Associates report most of their power as dispositive power held for advisory clients, the same proxy notes, so the economic owners are those clients.

How much of Ally do its executives own?

Ally's directors and executive officers own a very small share of the company. Their combined holdings, including vested stock units, amount to well under one percent of the shares outstanding. Management controls Ally through board and executive roles, not through share ownership.

The 2026 proxy lists Michael G. Rhodes, Ally's chief executive officer and a director, with 178,294 shares of common stock beneficially owned as of March 13, 2026. Directors and executive officers as a group, 19 persons, beneficially owned 771,423 common shares and 1,406,114 shares and stock-settled units in total, per the same table.

Was Ally Bank part of GMAC?

Yes. Ally Financial is the former GMAC, the finance arm General Motors created to lend to its car buyers and dealers. GMAC rebranded as Ally after the 2008 financial crisis, when the US government rescued it. The government sold its last shares in December 2014, leaving Ally fully in public hands.

A Congressional Research Service report says General Motors created General Motors Acceptance Corporation in 1919 to provide credit for its customers and dealers, and that in 2006 Cerberus Capital Management bought 51% of GMAC for approximately $14 billion while GM kept 49%. The same report says that after GMAC became a bank holding company, it renamed itself Ally Financial and expanded its deposit-taking operations under the Ally Bank name.

The US Treasury announced on December 19, 2014 that it had agreed to sell all of its remaining 54.9 million Ally shares at $23.25 per share, exiting the investment. Treasury said taxpayers recovered $19.6 billion in total, against an original $17.2 billion investment in "Ally, formerly GMAC," per the same release.

Is Ally still connected to General Motors?

Ally is no longer owned by General Motors, but auto finance is still its core lending business. It works with many car dealers and auto retailers, not only GM dealers. Ally's dealer business is separate from its digital bank, which gathers the deposits that fund much of its lending.

Ally's 10-K says its Dealer Financial Services business is made up of its Automotive Finance and Insurance segments, and that its primary customers are automotive dealers, including franchised dealers and retailers such as Carvana, CarMax and EchoPark. On the deposit side, the same 10-K reports that Ally Bank ended 2025 with approximately 3.5 million retail deposit customers, after adding about 178,000 during the year.

Ally Bank's structure differs from neobanks that rely on partner banks. For comparison, see Who Owns Chime? and Who Owns SoFi?, and for a branch-based bank, Who Owns Wells Fargo?.

Where this ownership data falls short

Proxy tables are snapshots built from filings that holders submit on their own schedules. Three of Ally's four large-holder rows rely on filings that are more than two years old, so those stakes may have changed since. The table also stops at five percent, so smaller institutional holders do not appear.

Three limits apply. First, the 13G dates in the 2026 proxy range from February 2024 to July 2025, while the share count is as of March 13, 2026. Second, beneficial ownership counts voting or dispositive power, which for Vanguard, BlackRock and Harris Associates is held on behalf of clients. Third, rankings of "top shareholders" on finance sites use other datasets that this article does not use.
