Who Owns JPMorgan Chase? Largest Shareholders

No single person or company owns JPMorgan Chase. JPMorgan Chase & Co. is a publicly traded company owned by its shareholders, and its 2026 proxy statement filed with the SEC on April 6, 2026 names only two holders above 5%: The Vanguard Group and BlackRock, Inc.

The rest of the stock is spread across other asset managers, pension funds, retail investors and company insiders. This article walks through what the SEC filings actually show, who controls the bank day to day, and how to read the numbers without overstating them.

Who owns JPMorgan Chase?

JPMorgan Chase is owned by the investors who hold its common stock, which trades on the New York Stock Exchange under the ticker JPM. There is no controlling parent, founding family or government owner. The two largest holders are index and asset managers, Vanguard and BlackRock, which hold shares mostly on behalf of their fund clients.

The proxy lists the "beneficial owners of more than 5%" as of December 31, 2025. According to the JPMorgan Chase 2026 DEF 14A, The Vanguard Group held 265,758,185 shares, or 9.86% of common stock, and BlackRock, Inc. held 192,831,104 shares, or 7.15%.

Together those two firms account for roughly 17% of the company, based on the percentages in the proxy table. No other shareholder crossed the 5% line that triggers disclosure in the proxy table. That means the remaining ownership, well over 80% of the shares, sits with thousands of institutions and millions of individual accounts that each hold a smaller slice.

People who search "who owns JPMorgan" often mean the bank they deposit money with. That bank is JPMorgan Chase Bank, National Association, and the proxy notes that all of the firm's directors also make up the full board of that bank subsidiary. So the answer is the same: the bank sits inside the public holding company, and the holding company belongs to its shareholders.

Who are the largest shareholders of JPMorgan Chase?

The largest shareholders of JPMorgan Chase are The Vanguard Group and BlackRock, in that order, based on the 2026 proxy statement. Both are passive or largely passive asset managers. No hedge fund, individual or sovereign fund reported a stake large enough to appear in the proxy's table of major holders.

The two institutional rows come from different underlying filings. The proxy says Vanguard's share count is derived from Vanguard's Form 13F for the quarter ending December 31, 2025, while BlackRock's figure traces to a Schedule 13G dated February 7, 2024. Readers comparing the two should keep that timing gap in mind.

Does Vanguard or BlackRock control JPMorgan Chase?

Neither Vanguard nor BlackRock controls JPMorgan Chase. Each holds a minority stake, and each reports its position as an investment adviser or parent holding company under SEC Rule 13d-1(b), the passive filing route. Control of the business rests with the board of directors and management, elected and overseen by all shareholders.

The voting detail in the filing makes this clearer. According to the 2026 JPMorgan Chase proxy, Vanguard's Schedule 13G dated February 13, 2024 reported sole voting power over 0 shares and shared voting power over 3,623,542 shares, even though it had dispositive power over far more. BlackRock, per the same proxy, reported sole voting power over 173,083,182 shares.

In plain terms, Vanguard owns a large economic position on behalf of index fund investors but reported directly voting only a small part of it. Asset managers file on Schedule 13G rather than the longer Schedule 13D when they do not intend to influence control of the company.

That is why a 9.86% stake does not translate into a board seat or a veto. A shareholder with an activist agenda would normally file a 13D and say so publicly.

How much of JPMorgan Chase does Jamie Dimon own?

Jamie Dimon owns a small fraction of JPMorgan Chase. His stake is large in dollar terms but far too small to give him control, even after counting his unvested stock units, according to the company's 2026 proxy.

The proxy describes Dimon as Chairman and Chief Executive Officer of JPMorgan Chase & Co. Its security ownership table lists him at 6,266,647 shares of common stock, plus 653,426 additional underlying stock units, for a total of 6,920,073. A footnote says the figure includes 116,466 shares owned by entities in which he disclaims beneficial ownership beyond his pecuniary interest.

The same filing states that every director, nominee and named executive officer individually, and the group as a whole, owns less than 1% of the outstanding common stock. Dimon's stake is large in dollar terms and meaningful for alignment, but it does not make him an owner in the control sense.

How many shares of JPMorgan Chase are outstanding?

JPMorgan Chase's 2026 proxy statement gives the share count outstanding at its record date, covered below. That share count is the denominator behind every ownership percentage, and it shrinks over time as the company repurchases stock.

The 2026 proxy gives the March 20, 2026 record date and the 2,682,219,629 share figure used for voting at the annual meeting. Because buybacks reduce the share count, a holder that stands still on shares will see its percentage creep upward over time, and a holder that sells can hold its percentage flat.

This matters when reading third-party ownership sites. A percentage calculated from an old share count, or a share count taken from a different date than the holding, can drift a few tenths of a point from what the company itself reports.

Where to verify JPMorgan Chase ownership yourself

The most reliable way to check who owns JPMorgan Chase is SEC EDGAR. The annual DEF 14A proxy statement lists every major holder above the disclosure threshold plus insider holdings. Schedule 13G and 13D filings show large holders as positions change, and quarterly Form 13F filings show what each institutional manager holds.

JPMorgan Chase's filings are indexed under its SEC CIK on EDGAR's company search. A simple decision path works for most questions:

  • If you want the official list of major holders, open the latest DEF 14A and search for the table of beneficial owners of more than 5%.

  • If you want to know whether a large holder bought or sold since the proxy, look for newer Schedule 13G/A amendments filed by that holder about JPMorgan Chase.

  • If you want a manager's full quarterly position, open that manager's own Form 13F and search the information table for JPMORGAN CHASE.

  • If you want an executive's trades, look at the Form 4 filings listed on the company's EDGAR page.

What are the limits of these ownership numbers?

Ownership figures for JPMorgan Chase are snapshots, not live data. Proxy tables rely on filings dated months or years earlier, asset managers aggregate many funds into one line, and 13F reports arrive up to 45 days after quarter end. Treat every percentage as accurate for its stated date only.

Three caveats are worth spelling out:

  • Mixed dates. The 2026 proxy uses a December 2025 13F for Vanguard and a February 2024 13G for BlackRock. The two numbers do not describe the same moment.

  • Aggregation. A single "Vanguard" line bundles many funds and entities. Vanguard itself has begun reporting some subsidiaries separately in other companies' filings, which can make its headline stake look smaller in later reports without any shares being sold.

  • Beneficial versus economic ownership. Asset managers hold shares for clients. The fund investors carry the economic exposure, while the manager reports the holding because it has voting or dispositive power.
