Who owns Citibank?

Why is Vanguard's Citigroup stake reported differently now?

Vanguard changed how it reports ownership. Citigroup's 2026 proxy notes that Vanguard reported on March 26 that, due to an internal realignment, it no longer has beneficial ownership over securities held by various subsidiaries and business divisions, which will now report separately. Future filings may show smaller Vanguard lines without any shares sold.

The proxy footnote explains that subsidiaries or business divisions that formerly reported with The Vanguard Group will report beneficial ownership on a "disaggregated basis." That is a reporting change, not a trading decision.

For readers, the practical effect is that the 8.7% figure reflects Vanguard's February 2024 aggregate filing. Adding up Vanguard's disaggregated filings is the only way to rebuild a comparable total, and that sum may not match the old headline exactly.

  • Stale inputs. A proxy published in April 2026 can rely on a 13G filed two years earlier if the holder has not amended it.

  • Disaggregation. Vanguard's realignment means later filings may split one stake into several lines.

  • Parent versus bank. Holding Citigroup stock gives indirect exposure to Citibank alongside Citigroup's other businesses. There is no way to own the bank alone.
