Who Owns Venmo? Ownership, History, and How It Makes Money

PayPal Holdings, Inc. owns Venmo. Venmo is a U.S. peer-to-peer payments app that lets people send money to friends and pay businesses from a phone, and it has been part of PayPal since PayPal bought Venmo's parent company, Braintree, for $800 million in cash in September 2013. PayPal itself is a publicly traded company on Nasdaq under the ticker PYPL, so Venmo's ultimate owners are PayPal's shareholders, the largest of which are index fund managers.

Venmo is not a separate public company and has no stock of its own. In April 2026, PayPal reorganized into three business units and placed Venmo inside a new division called Consumer Financial Services & Venmo. That change gave Venmo its own leadership line, but ownership did not change. The sections below walk through the full ownership chain, from a 2009 text-message startup in Philadelphia to a unit that PayPal says produced about $1.7 billion in revenue in 2025.

Who Owns Venmo Today?

Venmo is wholly owned by PayPal Holdings, a Delaware corporation headquartered in San Jose, California. Venmo has no outside shareholders and does not trade on its own. Anyone who owns PayPal stock owns an indirect slice of Venmo, and PayPal's board and executive team make the decisions about Venmo's strategy, products, and budget.

PayPal's own annual report describes the company as a Delaware corporation based at 2211 North First Street, San Jose, and lists Venmo among its trademarks alongside Braintree, Xoom, Hyperwallet, Honey, and Paidy. The same filing calls the Venmo digital wallet a leading U.S. mobile app for moving money between friends and family.

Because PayPal is widely held, no single investor controls it. PayPal's 2026 proxy statement lists two holders above the 5% reporting threshold as of December 31, 2025: The Vanguard Group with 90,375,902 shares, or 10.05%, and BlackRock with 72,523,555 shares, or 8.06%. Both figures come from Schedule 13G filings cited in the proxy. The proxy also notes that a later Vanguard 13G/A, filed March 27, 2026, reported that Vanguard no longer beneficially owns the shares after an internal reorganization that disaggregated its holdings across related entities. That is a reporting change, not a sale of PayPal stock by index funds in aggregate.

In practice, then, the honest answer has two layers. The legal owner of Venmo is PayPal. The economic owners are PayPal's public shareholders, dominated by large asset managers who hold the stock mostly through index and mutual funds on behalf of their clients.

2009: Founding in Philadelphia

Venmo began as a University of Pennsylvania alumni project. A December 2009 student newspaper report described how users texted the Venmo number with an amount and a recipient to move money, and said the service was invite-only and already accepted at several Philadelphia food trucks. The founders were Andrew Kortina and Iqram Magdon-Ismail, both Penn graduates.

2012: Braintree buys Venmo

Braintree, a Chicago payments gateway that processed card payments for app companies, announced in August 2012 that it had acquired Venmo. TechCrunch put the price at $26.2 million and reported Venmo was handling roughly $10 million in payments a month at the time. Venmo's own announcement said it would keep operating as before and planned integrations with Braintree merchants such as Uber, Airbnb, and HotelTonight.

2013: PayPal buys Braintree

A year later, PayPal agreed to buy Braintree for $800 million in cash. TechCrunch reported that Venmo was a major part of the appeal and that eBay's CEO at the time, John Donahoe, framed the deal as a way to accelerate PayPal's leadership in mobile payments. At that moment, the ownership chain ran Venmo to Braintree to PayPal to eBay.

2015: PayPal leaves eBay

eBay had owned PayPal since buying it in 2002 for $1.5 billion. On July 20, 2015, PayPal completed its spin-off and began trading on Nasdaq. eBay shareholders of record on July 8 received one PayPal share for each eBay share. Venmo and Braintree went with PayPal, and eBay kept no ownership of either.

2026: Venmo gets its own division

On April 29, 2026, PayPal announced a reorganization into three businesses: Checkout Solutions & PayPal, Consumer Financial Services & Venmo, and Payment Services & Crypto. The filing named Alexis Sowa interim leader of Consumer Financial Services & Venmo and quoted CEO Enrique Lores on aligning structure with strategy. PayPal's second-quarter 2026 results, released July 28, 2026, refer to building on the strong momentum in Venmo under the new structure.

Is Venmo Being Spun Off or Sold?

As of PayPal's latest filings, Venmo remains fully owned by PayPal. The 2026 reorganization created a distinct division with its own leader, which makes Venmo easier to measure and manage on its own. A distinct unit is not a spin-off, and PayPal's filings do not announce a sale, a separate listing, or a new outside owner.

The primary document, PayPal's 8-K exhibit on the reorganization, describes an operating structure, not a transaction. Any sale or spin-off of a business this size would require its own SEC disclosure, so the reliable way to track it is PayPal's filings on EDGAR rather than headlines.
​

For users, a structural change inside PayPal does not change the account agreement, balances, or how payments work. Venmo accounts continue to be governed by Venmo's user terms, and those would only change through a formal notice.

How Does Venmo Make Money?

Venmo earns money mainly from fees on optional services, not from basic transfers between friends. Standard bank withdrawals and debit or bank funded sends are free. Revenue comes from instant transfers, credit card funded sends, seller fees on goods and services payments, merchant checkout through Pay with Venmo, the Venmo cards, and crypto trades.

PayPal's annual report explains that it earns transaction revenue when it facilitates the instant transfer of funds from a PayPal or Venmo account to a bank account or debit card and when it facilitates crypto purchases and sales, while it generally does not charge customers to fund or draw from their accounts. It also earns value-added revenue from partnerships, interest and fees on credit products, interest on assets underlying customer balances, and referral fees.

Beyond consumer fees, Venmo earns from merchants. PayPal's filing describes PayPal and Venmo branded checkout experiences that let shoppers pay without typing card or address details, which is how Pay with Venmo works at online stores. The same filing notes that Venmo-branded debit and credit cards let consumers pay in person and earn cash-back rewards.

This is the shift PayPal calls monetization. For most of its life Venmo was a popular free app with thin revenue. PayPal's 2025 shareholder letter says management drove Venmo monetization to new levels and reported double-digit growth for Pay with Venmo.

How Big Is Venmo Inside PayPal?

Venmo is one of PayPal's faster growing products but still a small share of total revenue. PayPal reports Venmo revenue near the low single-digit billions of dollars against a company total in the tens of billions, and it discusses Venmo mainly through growth rates rather than a separate segment line.

PayPal's 2025 annual report says Venmo revenue grew about 20% to approximately $1.7 billion in 2025. The same report attributes about $340 million of the year's revenue increase to Venmo products and services, driven by growth in payment volume and transaction counts, compared with about $740 million from PayPal-branded products.

For scale, PayPal processed $1.79 trillion in total payment volume in 2025, up 7%, and $475.1 billion in the fourth quarter alone. In the second quarter of 2026, PayPal reported net revenues of $8.682 billion and payment volume of $486.448 billion. PayPal's 10-K does not break out Venmo payment volume or account counts as audited segment data, so figures quoted elsewhere for Venmo users should be traced back to an earnings release before being trusted.
