Afterpay is owned by Block, Inc., the company behind Cash App and Square. Block completed its acquisition of Afterpay Limited, a global buy now, pay later platform, on January 31, 2022, according to Block's Form 10-K for 2022. The auditor's discussion in the same filing puts the consideration at $13.8 billion.
Block is a public company. Its Class A common stock trades on the New York Stock Exchange under the symbol XYZ, and it also has CHESS Depositary Interests on the Australian Securities Exchange, a secondary listing it set up for the Afterpay deal, per Block's 2025 Form 10-K. Block Head and Chairperson Jack Dorsey holds 42.2% of Block's total voting power, per Block's 2026 proxy statement. Every figure below comes from those SEC filings and is dated to the filing.
Who owns Afterpay?
Block owns Afterpay. The Australian company became a Block subsidiary in an acquisition paid largely in newly issued Block shares, and its pay-later service now runs alongside Cash App. Block also opened a secondary listing on the Australian exchange in connection with the deal.
Block's 2025 10-K says that, in connection with the Afterpay acquisition, Block established a secondary listing on the ASX. The same filing says Cash App and Afterpay offer a wide range of Pay Later capabilities, that Block offers its buy now, pay later products in the United States, Australia, Canada, New Zealand and the United Kingdom, and that Afterpay US Services, LLC holds lending licenses for its US products.

Block valued its purchase of Afterpay at close to fourteen billion dollars, measured at the closing date. Block paid mainly by issuing new shares of its own Class A stock rather than cash. Afterpay's results have been part of Block's financial statements ever since the closing date.
The 2022 10-K says Afterpay's results are included in Block's financial statements from January 31, 2022, the date of acquisition, that Block assumed Afterpay's outstanding convertible notes at closing, and that Block issued 113,617,352 shares of Class A common stock in connection with the acquisition. In the same filing, the auditor describes the acquisition of Afterpay Limited during 2022 for consideration of $13.8 billion and its accounting as a business combination.
What is Afterpay's role inside Block?
Afterpay is Block's pay-later business. Shoppers split purchases into three or four installments, typically two weeks apart, without fees if they pay on time. Afterpay also earns money from merchants through advertising and affiliate commissions, and it offers cards for paying in installments at physical stores.
Block's 2025 10-K says its BNPL products let consumers split purchases into generally three or four installments, typically due in two-week increments, without paying fees if payments are made on time. The same 10-K says Block receives a commission when a consumer starts a shopping journey in the Afterpay App and makes a purchase, and may earn digital advertising revenue from clicks and flat fees for premium placements.
The 10-K also describes the Afterpay Card, which is free for consumers at Afterpay merchants, and the Afterpay Plus Card, available to select consumers for a monthly fee for use anywhere Apple Pay or Google Pay is accepted. Who controls Block?
Jack Dorsey and James McKelvey control a large share of Block's votes through high-vote Class B stock, even though fund managers hold more of its shares. Dorsey holds the biggest voting stake by far. Anthony Eisen, who helped start Afterpay, now sits on Block's board as a Class A holder.
The table reproduces selected rows from the ownership table in Block's 2026 proxy statement, with holdings as of March 31, 2026, based on 535,370,474 Class A shares and 59,991,242 Class B shares outstanding. The same proxy says Class B stock carries ten votes per share and Class A one.

Block's 2026 proxy says Anthony Eisen co-founded Afterpay in November 2014 and served as its co-chief executive officer, then served as co-lead of Afterpay at Block from January 2022, when Block acquired Afterpay Limited, to November 2024, before joining Block's board.
Where this ownership data falls short
Afterpay has no separate shareholders now, so the ownership table describes Block. The institutional rows rely on each fund's latest large-holder filing, which can lag the proxy date. The acquisition value reflects the closing date, not what Afterpay would be worth today.
Three limits apply. First, the Vanguard row in the 2026 proxy is based on a 13G/A reporting holdings as of September 30, 2025, and the proxy notes a later Vanguard filing as well. Second, Block does not report Afterpay as a separate segment in its 2025 10-K, so standalone Afterpay revenue is not shown here. Third, the $13.8 billion consideration in the 2022 10-K is an accounting value at closing.
