Who Owns MoneyGram? Private Equity Owners

MoneyGram is owned by funds affiliated with Madison Dearborn Partners, a Chicago private equity firm, which completed an all-cash acquisition of MoneyGram for $11.00 per share on 1 June 2023. MoneyGram's stock stopped trading and was delisted from Nasdaq, so the company has had no public shareholders since then.

Madison Dearborn still lists MoneyGram as a current buyout investment on its portfolio page, checked on 30 September 2026. The rest of this page covers the deal terms, the timeline, what private ownership means for disclosure, and how MoneyGram's business looks under its owners.

Who owns MoneyGram now?

Funds affiliated with Madison Dearborn Partners, LLC own MoneyGram International through an all-cash take-private buyout. Madison Dearborn's website lists MoneyGram as a current investment in its financial services sector, with the deal type recorded as a buyout.

The June 2023 completion release uses the phrase "funds affiliated with MDP," which is the precise legal description. Private equity firms buy companies through funds made up of outside investors' capital, so the economic owners are those funds' limited partners, with Madison Dearborn acting as manager. MoneyGram has not published the split of ownership among individual funds, co-investors or management, and no public filing sets it out after the delisting.

The Madison Dearborn portfolio entry describes MoneyGram as a global cross-border peer-to-peer payments and money transfer company headquartered in Dallas, Texas.

Who is Madison Dearborn Partners?

Madison Dearborn Partners is a private equity firm based in Chicago, formed in 1992. It invests across several industry verticals, including financial and transaction services.

The "About Madison Dearborn" section of the June 2023 release said the firm had raised aggregate capital of over $28 billion and completed over 150 platform investments across five industry verticals, so those figures describe the firm as of that date. Other financial services names on the firm's portfolio page include current holdings such as Amynta Group and Great Gray Trust Company, and exited investments such as TransUnion and an early stake in PayPal.

In the February 2022 deal announcement, Madison Dearborn Managing Director Vahe Dombalagian, of the firm's Financial and Transaction Services team, spoke for MDP. At completion, Managing Director Brendan Barrett spoke for the firm.

How much did Madison Dearborn pay for MoneyGram?

Madison Dearborn paid cash per share at a premium to MoneyGram's unaffected share price, and also committed to refinance MoneyGram's debt.

MoneyGram's 15 February 2022 press release, filed with the SEC as Exhibit 99.1, set the terms at $11.00 per share in cash, a transaction value of approximately $1.8 billion, a premium of about 50% to the unaffected closing price on 14 December 2021, and $799 million of debt at year-end 2021 to be refinanced. The same filing says committed debt financing came from Goldman Sachs, Deutsche Bank Securities and Barclays, and that the MoneyGram board approved the agreement unanimously.

When did MoneyGram go private?

MoneyGram went private on 1 June 2023, when Madison Dearborn funds completed the acquisition and MoneyGram's common stock ceased trading on Nasdaq under the ticker MGI. The deal took about 15 months from announcement, longer than the fourth-quarter 2022 close first expected, because money transmitter licence approvals were required.

The sequence, from primary sources only:

15 Feb 2022 Definitive agreement announced, $11.00/share [SEC Ex. 99.1]
16 Mar 2022 30-day go-shop period expires [SEC Ex. 99.1]
Q4 2022 Originally expected close (did not happen) [SEC Ex. 99.1]
01 Jun 2023 Acquisition completed; MGI delisted from Nasdaq [Completion release]
30 Sep 2026 MDP portfolio page still lists MoneyGram "Current" [mdcp.com]

The announcement names the conditions: shareholder approval and regulatory approvals, including approvals in various jurisdictions tied to money transmitter licences. The completion release confirms the delisting. The gap between those two dates is the regulatory approval period.

Who runs MoneyGram under private equity ownership?

MoneyGram still operates under its own brand from its Dallas headquarters, but its top leadership has changed since the take-private. The executive who led the company through the 2023 sale has been succeeded, and a September 2026 company release names a new person holding both the chairman and chief executive roles.

The 2022 announcement said MoneyGram would continue under Alex Holmes and the existing leadership team after closing, with headquarters in Dallas. By 10 September 2026, MoneyGram's MoneyGram Card release quotes Anthony Soohoo as Chairman and CEO. The primary sources used here do not give the date of the leadership change.

What has MoneyGram done since going private?

MoneyGram has pushed further into stablecoin-based products. It introduced the MoneyGram Card, a stablecoin-backed card built with Rain, Crossmint and the Stellar network, starting in Colombia. It also expanded its MoneyGram Ramps service to Solana.

The card release says MoneyGram serves over 60 million active customers across more than 200 countries and territories through nearly 500,000 retail locations, and plans a physical card in late 2026. The card holds a stable-dollar balance that customers can spend anywhere Visa is accepted or cash out at MoneyGram locations. A separate release announced that MoneyGram Ramps is now live on Solana. That is the business Madison Dearborn's funds now own: a cash remittance network being rebuilt around digital and stablecoin rails.

What are the limits of public information on MoneyGram's owners?

Since the delisting, MoneyGram no longer files proxy statements or annual reports with public ownership tables. That leaves several questions without primary-source answers: the exact equity split among Madison Dearborn funds and co-investors, any management equity, current debt levels, and any exit plans.

  • No ownership table. The last detailed public ownership data predates June 2023. Later percentages found online have no filing behind them.

  • No exit disclosure. Neither MoneyGram nor Madison Dearborn has disclosed a sale or IPO in the sources checked for this page.

  • Dated firm figures. The $28 billion capital figure for Madison Dearborn comes from the June 2023 release and may have changed.
